1. Company Information & Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "User") and JASS SOLUTIONS (PRIVATE) LIMITED ("Company", "JASS", "we", "us", or "our"), a company duly incorporated under the laws of Pakistan with corporate headquarters at Office M-6, Victoria Square, Block D, 4th Road, Commercial Market, Satellite Town, Rawalpindi, 46600, Punjab.

By engaging JASS Solutions for CRM setup, automated appointment scheduling, or virtual assistant staffing services, or by accessing our website (jass-solutions.com), you explicitly agree to comply with and be bound by these Terms.

2. Scope of Managed Services

JASS Solutions provides an integrated operational execution system comprising:

• CRM Infrastructure Setup & Optimization: Configuring sales funnels, lead tagging, deal stages, and custom analytics reporting.
• Automated Appointment Scheduling: Multi-channel calendar integration with 2-way sync and SMS/Email reminders.
• Dedicated Virtual Assistant Staffing: US script-trained virtual assistants assigned to handle client phone calls, inbox triage, and live bookings.

3. Client Responsibilities & Acceptable Use

The Client agrees to use JASS Services strictly for lawful business operations. The Client shall not:

• Utilize JASS communication channels or virtual assistants for transmitting unauthorized promotional communications ("spam"), deceptive solicitations, or fraudulent inquiries prohibited under PECA 2016.
• Request virtual assistants to perform acts that violate applicable local, provincial, or federal statutes in Pakistan or the target market jurisdiction.
• Solicit, hire, or directly contract assigned JASS virtual assistants outside of JASS Solutions during active service or within 12 months following contract termination.

4. Intellectual Property & Proprietary Workflow

All customized CRM templates, operational automation scripts, proprietary call scripts, branding assets, and software configurations developed by JASS Solutions remain the intellectual property of JASS SOLUTIONS (PRIVATE) LIMITED unless explicitly transferred under written contract.

5. Payment Terms, Billing & Cancellations

Service fees are billed on a monthly retainer basis unless otherwise stipulated in a signed Statement of Work (SOW):

• Invoices are due upon receipt. Failure to settle invoices within 7 business days may result in temporary suspension of virtual assistant coverage and CRM sync automation.
• Either party may cancel retainer services by providing a 30-day written notice sent to info@jass-solutions.pk.

6. Limitation of Liability & Disclaimers

To the maximum extent permitted under Pakistan law, JASS Solutions shall not be liable for any indirect, incidental, or consequential damages arising from third-party telecommunication network downtime, internet service disruptions, or calendar software API changes. JASS's cumulative liability shall not exceed the total fees paid by the Client to JASS in the 1 month preceding the claim.

7. Dispute Resolution & Jurisdiction

In the event of any dispute arising under or relating to these Terms, the parties agree to first seek amicable resolution through good-faith negotiations. If unresolved, the dispute shall be referred to arbitration under the Arbitration Act 1940 of Pakistan, and the competent courts at Rawalpindi / Islamabad, Pakistan shall have exclusive jurisdiction over all matters.
